The Mini Retreat will be Chaired by Karen Garth, please check below to contact her to volunteer.  March 20 & 21, 2009.   This is a two day event.  That is not as time consuming as the normal retreats or quilt show.  We need teachers and committees.  So teachers, send in any ideas for a class to Ann or Karen. 

She needs the information by Dec. 13,2008.  kegarth@cox.net 463-2467.

We also need a Fall Retreat Chair, 2009    Quilt Show Chair,2010    Opportunity Quilt Chair 

 2009 Challenge will be put together by the Art Quilt circle

Schedule of DQN Board Meetings

Board meetings are on the first Monday of each month excluding holidays.
7 PM ~ Location: Multi-purpose Room at the Enterprise Library
25 E. Shelbourne Ave.
(South of the Warm Springs Road and just off Las Vegas Blvd on Shelbourne Ave.)

Directions: Take I-15 South to the Blue Diamond exit. Head east on Blue Diamond Road. At Las Vegas Blvd turn right, heading South. Continue on Las Vegas Blvd for approximately 1/2 mile. Turn left on Shelbourne. The Enterprise Library is on the corner of Shelbourne and Las Vegas Blvd.

DESERT QUILTERS OF NEVADA BY-LAWS as amended October, 2007

Article I:                  Name

                                The name of the corporation shall be: Desert Quilters of Nevada

Article II:                 Objective

Section 1: To promote and preserve the art of quilting, patchwork, applique, and related fiber arts.

Section 2: To sponsor workshops, displays, projects, and opportunities for individuals to meet for an exchange of ideas concerning quilting and fiber arts.

Article III:                                Membership

Section 1: The corporation shall be operated on a membership basis solely for the purpose and objectives stated in Article II.

                Section 2: Dues as determined by the Board of Directors are due annually October 1.

Section 3: Membership is open to all interested parties regardless of race, religion, sex or national origin.

Section 4: There shall be one level of membership and membership benefits are available to all members equally.  Benefits of membership may include prizes, awards, and/or gifts for participation in Desert Quilters of Nevada programs and/or discounts to Desert Quilters of Nevada events, as determined by the Board of Directors.

Article IV:                                Board of Directors

Section 1: The business of the corporation shall be the responsibility of the Board of Directors.

Section 2: The elected officers of the Board of Directors shall be President, one or more Vice-Presidents, Treasurer, and one or more secretaries.  The officers shall perform the duties prescribed by these By-laws and by the parliamentary authority adopted by the corporation.

Section 3: The officers shall be elected by the general membership to serve one year.  The term of office shall begin at the close of the annual meeting at which they were elected.

Section 4: Vacancies on the board shall be filled by appointment by the Board of Directors.  The appointee shall serve until the next election.

Section 5: The non-elected members of the Board of Directors include the newsletter editor, the immediate past president, one representative of each interest group, the quilt show chair, the retreat chair, membership chair, program chair, and sales chair.  Interest groups of more than 25 Desert Quilters of Nevada members may have 2 voting members on the Board of Directors.

Section 6: The Board of Directors shall appoint and supervise standing committees and special project committees.

Section 7: One half of the membership of the Board of Directors shall constitute a quorum.  Officers who also represent an interest group are entitled to only one vote.  Non-Board members of the Desert Quilters are welcome at Board meetings, but do not have a vote.

                Section 8: The Board of Directors shall meet at least six (6) times per year.

Article V:                 Meetings

Section 1: The Annual Meeting of the corporation shall be held in mid-October each year.  Reports of the Board of Directors, the audited financial statements, and reports of committees shall be available at this meeting.  For an election to be valid, at least 25% of the general membership must vote.

Section 2: Special general meetings may be called by the President or the Board of Directors when requested by ten (10) or more members in writing.  The purpose of the special meeting shall be stated in the call.

Section 3: At least three (3) additional meetings shall be held during the year for the benefit of the general membership.

Article VI:                                Non-Profit Status

Section 1: Desert Quilters of Nevada shall not engage in any business normally pursued for profit, nor shall it be used as a buyer service for its members.

Section 2: Desert Quilters of Nevada will not attempt to influence legislation or support any political candidates for public office.

Section 3: The Board of Directors may sponsor members of Desert Quilters in various courses or seminars for the benefit of Desert Quilters of Nevada.

Section 4: Upon dissolution of Desert Quilters of Nevada, any surplus of property or assets remaining after payment of just debts and obligations shall be dispersed to a non-profit organization whose purpose is similar to that of Desert Quilters of Nevada and which holds a 501(c)(3) exemption from the Internal Revenue Service.

Article VII:              Parliamentary Authority

Robert’s Rules of Order, newly revised, shall govern the corporation in all cases to which they are applicable and in which they are not inconsistent with these By-Laws and any special rules of order that the corporation may adopt.

Article VIII:             Amendment(s) to the By-Laws

The By-Laws may be amended at any general meeting of the corporation by a two-thirds vote of those present, provided that the amendment has been submitted in writing at the previous general meeting or to each member via the mail.  No amendment shall be made which will alter or negate the eligibility of the corporation for IRS 501(c)(3) status.
